Hawaiʻi Annual Report Requirements
Every corporation, LLC, limited partnership, and limited liability partnership registered to do business in Hawaiʻi must file an Annual Report with the Department of Commerce and Consumer Affairs (DCCA), Business Registration Division (BREG). This filing keeps the state’s public registry current and keeps your business in good standing. Below is what you need to know to stay compliant.
Who Must File
Nearly all registered business entities must file an Annual Report, including:
- Domestic and foreign profit corporations
- Domestic and foreign nonprofit corporations
- Domestic and foreign limited liability companies (LLCs)
- Domestic and foreign limited partnerships (LPs)
- Limited liability partnerships (LLPs) and limited liability limited partnerships (LLLPs)
Sole proprietorships and general partnerships are not required to file an Annual Report.
New entities are exempt in their first calendar year of registration — the first Annual Report is due the year following formation.
When It’s Due
Hawaiʻi does not use a single statewide deadline. Instead, your due date is tied to the calendar quarter in which your business originally registered:

What the Report Requires
The Annual Report is a status update, not a financial disclosure — it does not require revenue, income, or financial statements. It generally confirms:
- Current principal office and mailing address
- Registered agent name and address
- Names and addresses of officers/directors (corporations) or members/managers (LLCs)
- Whether an LLC is member-managed or manager-managed
How to File
Online (recommended): File through the Hawaiʻi Business Express (HBE) portal. Online filing is processed fastest and allows you to sign up for free email reminders for future filing years.
By mail: Complete the appropriate paper form and mail it, with payment, to:

By email or fax: Scanned or faxed forms are accepted, but credit card payment information must accompany the filing. Processing by email, mail, or fax typically takes longer than filing online.

Filing fees vary by entity type and filing method (online filings are generally slightly cheaper than paper filings):

What Happens If You Miss the Deadline
Failing to file on time puts your business out of good standing and can eventually lead to administrative dissolution (for domestic entities) or revocation of authority to transact business in Hawaiʻi (for foreign entities) after continued delinquency. Losing good standing can also disrupt banking, financing, and contracting relationships. If your report already on file contains an error, an amended Annual Report can be filed at no charge.
